These Terms of Service ("Terms") govern your access to and use of SinfoniaPRO, a business operations platform provided by SinfoniaPro Tech LLP ("Sinfonia", "we", "us", or "our"), including our websites, mobile applications, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

01Acceptance of Terms

By requesting early access to, registering for, or otherwise using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization, and "you" refers to both you and that organization.

If you do not agree to these Terms, you must not access or use the Services.

02The Services

SinfoniaPRO unifies accounting, payroll, HR and people management, vendor management, sales and CRM, banking and cash reconciliation, communication, and AI-driven reporting into a single platform, along with an AI layer that surfaces insights, flags anomalies, and helps interpret business data.

We may add, modify, suspend, or discontinue any feature or module of the Services at any time, with or without notice, particularly during the early access period described below. We do not guarantee that any specific feature will be available at all times or that the Services will be uninterrupted or error-free.

03Early Access

SinfoniaPRO is currently offered on an early access, invite-based basis. You acknowledge that the Services in this stage:

  • May contain bugs, errors, or incomplete features, and may change substantially before general availability.
  • Are provided for evaluation purposes and may be modified, limited, or withdrawn at our discretion.
  • May be subject to separate onboarding terms, pilot agreements, or service-level commitments communicated to you directly, which will take precedence over these Terms where they conflict.

We welcome feedback during early access; by submitting feedback, you grant us a royalty-free, worldwide license to use it to improve the Services, without any obligation to compensate you.

04Accounts and Eligibility

You must provide accurate and complete information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at tech@sinfoniapro.com if you suspect unauthorized use of your account.

You must be at least eighteen (18) years old, or the age of legal majority in your jurisdiction, and have the legal capacity to enter into a binding contract, to use the Services.

05Customer Data and Content

"Customer Data" means the financial records, payroll data, employee records, vendor and client information, and other content that you or your authorized users submit to, or generate through, the Services. As between you and Sinfonia, you retain all ownership rights in your Customer Data.

You grant Sinfonia a limited license to host, process, transmit, and display Customer Data solely to the extent necessary to provide, maintain, and improve the Services, and as otherwise described in our Privacy Policy. You are solely responsible for the accuracy, quality, legality, and rights to use the Customer Data you upload, and for obtaining any necessary consents from your own employees, clients, or vendors whose personal data you input into the platform.

06Acceptable Use

You agree not to, and not to permit any authorized user to:

  • Use the Services to violate any applicable law or regulation, or to infringe the rights of any third party.
  • Reverse engineer, decompile, or attempt to derive the source code of the Services, except where permitted by law.
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Services, related systems, or other users' data.
  • Use the Services to transmit malware, spam, or unlawful content.
  • Resell, sublicense, or provide the Services to third parties outside your own organization without our prior written consent.
  • Use automated means to access the Services except through documented APIs we make available.

07Fees and Payment

During early access, use of the Services may be offered free of charge or at rates communicated to you directly. Where fees apply, they will be set out in an order form, invoice, or plan description provided to you, and are exclusive of applicable taxes (including GST) unless stated otherwise. Fees are non-refundable except as required by law or expressly agreed in writing.

We may change our pricing for future billing periods, with reasonable advance notice to active paying customers.

08Intellectual Property

Sinfonia and its licensors retain all right, title, and interest in and to the Services, including all software, designs, trademarks, and underlying technology. These Terms do not grant you any rights to Sinfonia's intellectual property except the limited right to access and use the Services as permitted herein.

Any feedback, suggestions, or ideas you provide about the Services may be used by Sinfonia without restriction or compensation to you.

09Third-Party Services

The Services may integrate with or link to third-party services, banking partners, payment processors, or APIs. We are not responsible for the availability, content, or practices of third-party services, and your use of them is governed by their own terms and privacy policies.

10Confidentiality

Each party may have access to non-public information of the other party in connection with the Services ("Confidential Information"). Each party agrees to use the other's Confidential Information only as necessary to perform under these Terms, and to protect it with at least the same degree of care it uses for its own confidential information, but no less than reasonable care. This does not apply to information that is or becomes publicly available through no fault of the receiving party, or that is independently developed without reference to the disclosing party's Confidential Information.

11Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, particularly given the early access status of the platform.

12Limitation of Liability

To the maximum extent permitted by applicable law, Sinfonia and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunities, arising out of or related to your use of the Services, even if advised of the possibility of such damages.

Our total aggregate liability arising out of or related to these Terms or the Services will not exceed the amount you paid us for the Services in the twelve (12) months preceding the event giving rise to the claim, or, during early access where no fees have been paid, shall be limited to zero.

13Indemnification

You agree to indemnify and hold Sinfonia harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your Customer Data, or your violation of any applicable law or third-party right.

14Term and Termination

These Terms remain in effect for as long as you use the Services. You may stop using the Services and close your account at any time. We may suspend or terminate your access to the Services if you breach these Terms, or at our discretion during the early access period, with reasonable notice where practicable.

Upon termination, your right to use the Services ceases immediately. Provisions relating to intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification survive termination. Handling of your Customer Data after termination is governed by our Privacy Policy and applicable data retention obligations.

15Governing Law and Disputes

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts located in India, unless otherwise required by applicable law.

16Changes to these Terms

We may update these Terms from time to time to reflect changes in our Services or legal requirements. Material changes will be communicated to you via email, in-service notification, or an announcement on our Sites, with reasonable advance notice. Continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
